1. Acceptance of Terms

Welcome to YallaSell. By accessing or using our mobile application and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and YallaSell. We may update these Terms at any time. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Eligibility

To use YallaSell, you must:

• Be at least 18 years of age
• Be a resident of or located within the Kingdom of Saudi Arabia
• Have the legal capacity to enter into binding contracts under Saudi Arabian law
• Provide accurate and complete registration information
• Not be prohibited from using the Platform under Saudi Arabian law

By creating an account, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

You must register for an account using a valid phone number. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain one account per person (no multiple accounts)
• Not share your account credentials with others

3.2 Account Security

You are responsible for maintaining the security of your account. You agree to:

• Keep your phone and device secure
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We are not liable for any loss or damage arising from your failure to maintain account security.

4. User Conduct and Obligations

4.1 General Conduct

When using YallaSell, you agree to:

• Comply with all applicable Saudi Arabian laws and regulations
• Respect Islamic values and cultural norms
• Be honest and accurate in all listings and communications
• Complete transactions in good faith
• Treat other users with respect and courtesy
• Not engage in fraudulent, deceptive, or misleading practices

4.2 Listing Requirements

All listings must:

• Accurately describe the item being sold
• Include clear, recent photos of the actual item
• State the correct price and condition
• Be for items you legally own and have the right to sell
• Not contain misleading or false information

4.3 Transaction Obligations

When buying or selling items:

• Sellers must: Honor the listed price, accurately represent item condition, arrange prompt handover, not sell items already sold
• Buyers must: Communicate in good faith, inspect items before purchase, complete agreed transactions

YallaSell is a marketplace platform only. We are not party to transactions between users.

5. Prohibited Activities

You may not:

• Sell prohibited items: Illegal items, counterfeit goods, weapons, alcohol, drugs, tobacco, adult content, animals (without proper permits), stolen items
• Engage in scams: Fraudulent transactions, price manipulation, fake listings, impersonation
• Abuse the platform: Spam, harassment, hate speech, discrimination, threats
• Violate laws: Money laundering, tax evasion, copyright infringement, privacy violations
• Technical abuse: Hacking, scraping, reverse engineering, creating fake accounts, automated access
• Circumvent the platform: Attempting to complete transactions outside YallaSell to avoid fees (when applicable)

Violation of these prohibitions may result in immediate account suspension or termination, and we may report illegal activities to Saudi Arabian authorities.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you post (listings, photos, messages). By posting content, you grant YallaSell a worldwide, non-exclusive, royalty-free license to:

• Display, reproduce, and distribute your content on the Platform
• Create derivative works for platform improvement
• Use your content for promotional purposes (with your consent)

You represent that you own or have rights to all content you post and that it does not violate any third-party rights.

6.2 Our Content

The YallaSell Platform, including design, code, features, logos, and trademarks, is owned by YallaSell and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.3 Copyright Infringement

We respect intellectual property rights. If you believe content on YallaSell infringes your copyright, contact us at support@yallasell.com with details of the infringement.

7. Platform Services and Availability

7.1 Service Provision

YallaSell provides:

• A platform for listing items for sale
• Messaging between buyers and sellers
• Location-based search and discovery
• User profiles and favorites
• Push notifications

We may modify, suspend, or discontinue services at any time without notice. We are not liable for any modification, suspension, or discontinuation.

7.2 No Warranty

YallaSell is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee that the Platform will be error-free, secure, or uninterrupted.

8. Fees and Payments

Currently, YallaSell is free to use. We reserve the right to introduce fees in the future with advance notice. Transactions between users are direct peer-to-peer exchanges; YallaSell does not process payments or collect fees from transactions.

You are responsible for any fees, taxes, or charges imposed by your mobile carrier for data usage.

9. Disclaimers and Limitation of Liability

9.1 Marketplace Role

YallaSell is a marketplace platform that connects buyers and sellers. We:

• Are NOT a party to transactions between users
• Do NOT verify the identity, legitimacy, or trustworthiness of users
• Do NOT guarantee the quality, safety, or legality of items listed
• Are NOT responsible for user conduct or transaction outcomes
• Do NOT provide warranties for items sold through the Platform

9.2 User Responsibility

You are solely responsible for:

• Verifying the identity and trustworthiness of other users
• Inspecting items before purchase
• Meeting in safe, public locations
• Negotiating terms and completing transactions
• Resolving disputes with other users
• Complying with applicable laws and regulations

9.3 Limitation of Liability

To the maximum extent permitted by Saudi Arabian law, YallaSell and its officers, directors, employees, and agents are NOT liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Fraudulent transactions or user misconduct
• Defective, damaged, or counterfeit items
• Personal injury or property damage from transactions
• Service interruptions or data loss

In no event shall our total liability exceed 100 SAR or the amount you paid us in the past 12 months, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless YallaSell from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any law or regulation
• Your content or listings
• Your transactions with other users
• Your infringement of third-party rights

11. Account Suspension and Termination

11.1 Suspension by YallaSell

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• We receive complaints about your conduct
• We suspect security issues or unauthorized access
• Required by law or governmental authority

11.2 Termination by You

You may delete your account at any time through the app settings. Upon termination, you lose access to your account, and your listings will be removed. Some data may be retained as described in our Privacy Policy.

11.3 Effect of Termination

Upon termination, all licenses granted to you terminate. Sections of these Terms that by their nature should survive (including disclaimers, limitations of liability, indemnification) will survive termination.

12. Dispute Resolution

12.1 User Disputes

Disputes between users (regarding transactions, items, payments) must be resolved directly between the parties. YallaSell is not responsible for mediating or resolving user disputes. You release YallaSell from any claims arising from disputes with other users.

12.2 Disputes with YallaSell

If you have a dispute with YallaSell, you agree to first contact us at support@yallasell.com to attempt informal resolution. If informal resolution fails, disputes shall be resolved as follows:

• Governing Law: These Terms are governed by the laws of the Kingdom of Saudi Arabia
• Jurisdiction: Exclusive jurisdiction of courts in Riyadh, Saudi Arabia
• Language: Proceedings may be conducted in Arabic or English

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YallaSell regarding use of the Platform.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your account. We may assign these Terms to any affiliate or successor without restriction.

13.5 Force Majeure

YallaSell is not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, government actions, or technical failures.

14. Updates to Terms

We may update these Terms at any time. Updates will be effective upon posting with a new "Last updated" date. Significant changes will be communicated via:

• In-app notification
• Email (if provided)
• Prominent notice on the Platform

Your continued use after changes constitutes acceptance. If you do not agree to updated Terms, you must stop using YallaSell.
